ACS Infra Terms and Conditions

I. Users.

Anyone who accesses and/or uses the website www.acsinfra.com (the “Website”) is deemed a “User” of the Website and by accessing and/or using does hereby, in full and without exception, agree to abide by these general conditions, as well as the individual conditions that, where applicable, complement, amend or replace the general conditions concerning certain services and content of the Website.

II. Use of the website, its services and its content.

The User agrees to use the Website and its services and content without violating any existing legislation, public order, or good faith, generally accepted usage policies.
Further, using the Website for illegal purposes or in a manner harmful to ACS Infrastructure Development, Inc., ACS Infrastructure Canada Inc. (together, “ACS INFRA”), any third party, or that could in any way prejudice or prevent the normal operation of the Website is strictly prohibited.

ACS INFRA may, unilaterally, without prior notice and as it deems fit, alter the structure and design of the Website, and alter or remove the services, content, and/or conditions for accessing and/or using the Website.

V. Disclaimer of liability.

ACS INFRA gives no warranty and is not liable, under any circumstances, for losses and damages of any nature that may arise from:

The Website and/or its services or content failing to be useful, appropriate, or valid in terms of providing for specific needs, activities, or outcomes required by Users or meeting their expectations.
The existence of viruses or malicious or harmful programs within the content on the Website.
The receipt, obtainment, storage, dissemination or transmission of content by Users.
Illegal, negligent, or fraudulent use of the Website, its services or content by Users, or any use which violates these Terms and Conditions, any generally accepted usage standards, or public order.

UNDER NO CIRCUMSTANCES SHALL ACS INFRA AND/OR ANY ACS INFRA EMPLOYEES, DIRECTORS, AFFILIATES, ADVISORS, OR ANY OTHER PARTY WHICH HAS PROVIDED CONTENT FOR THIS WEBSITE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES THAT MAY RESULT FROM THE ACCESS OF, USE, OR INABILITY TO USE THE WEBSITE, INCLUDING WITHOUT LIMITATION, THE USE OF OR RELIANCE ON THE CONTENT, INFORMATION, STATEMENTS, EXPECTATIONS, PROSPECTS, ESTIMATES OR DOCUMENTS PROVIDED ON OR LINKS PROVIDED BY THE WEBSITE.

VI.Duration.

The website and its services shall be made available indefinitely.

Notwithstanding the foregoing, ACS INFRA reserves the right to interrupt, suspend, or terminate any provisions of the Website or any of its services under the same terms as those set out in Section III above.

VII. Intellectual Property.

To preserve potential intellectual property rights, if a User or third party believes, in good faith, that a violation of its legitimate rights may have occurred through the inclusion of certain content on the Website, the User or third party must provide immediate notice to ACS INFRA, detailing the following:

Details of the interested party’s rights which have allegedly been infringed upon. If a complaint is presented by a third party other than the interested party, it must indicate the capacity in which it has authority to do so.
Details of the content protected by the interested party’s intellectual property rights and its location on the Website.
Accreditation of the interested party’s intellectual property rights.

VIII. Governing law and Jurisdiction.

These Terms and Conditions are governed by New York law.

ACS INFRA and the User expressly waive any other jurisdiction that may apply to them and submit to the jurisdiction of the courts and tribunals of the residence of the User for any issues or legal action that may arise as a result of User’s access to the Website, its services and/or content, or that may refer to interpretation, application, compliance with, or breach of the provisions herein.

If the User resides outside of the United States, ACS INFRA and the User expressly waive any other jurisdiction that may be applicable to them and submit to the jurisdiction of New York courts, unless prohibited by law.
